Prime & Fusion Richina to form world's largest maker of leather

Prime Tanning Co Inc and Shanghai Richina Leather Co Ltd announced the proposed merger of two companies to form the world's largest manufacturer of premium leather, Prime Leather International (PLI).

Prime currently operates the largest vertically integrated wet blue and finished leather tanning leather side in North America, and sells its finished leather shoes, handbag, upholstery, and specialty markets worldwide, and the U.S. military.

SRL finishes leather at its large facility in Shanghai, which sells footwear, clothing, leather and automotive markets. Both companies provide the best brands in the world.

The new company have the ability to complete more than 150 million feet of leather annually. Robert Moore, current CEO of the first, will become CEO of the new company, and the Board of Directors be composed of representatives of both companies.

The combination will be structured as a three-step process. Firstly, the two companies sign a management agreement that combines the 1 May 2008 their global management, marketing, sales and service teams for customers in a single entity so that they can achieve significant synergies to their global customer base immediately.

Second, Prime and SRL legally combine the balance their operations through a merger or contribution agreement as soon as possible.

Third, the combined entity will seek a listing on Asian stock exchanges in the earliest possible depending on market conditions.
